三、教學目標 Objectives
本課程將配合學年教授之比較契約法課程討論，由同學進行分組後選擇職場審閱之合約進行分組報告及討論。並結合比較契約法課程案例中提及的相關合約，利用網路資源及同學實務操作之需求，選擇類型進行分組討論與實作，以收商務談判中契約審議撰擬與協商能力培養之效。諸如，保密協議、競業禁止及禁止挖角、股權買賣、購併、智慧財產相關授權等。
This course will integrate the contracts discussed from "comparative contract seminar" together with online sample contract template as well as real contracts provided by student from practices, such as confidentiality agreement, non-competition & non-solicitation clauses, stock purchase agreement and licencing agreement, etc. Through class discussion and group project, the course hopes to enhance students' potential on contract drafting, reviewing and negotiation.

●整體敘述 Overall Description This course will integrate the contracts discussed from "comparative contract seminar" together with online sample contract template as well as real contracts provided by student from practices, such as confidentiality agreement, non-competition & non-solicitation clauses, stock purchase agreement and licencing agreement, etc. Through class discussion and group project, the course hopes to enhance students' potential on contract drafting, reviewing and negotiation.
