三、教學目標 Objectives
本課程為財經法學英文，主要閱讀美國法院財經法經典文章。希望透過本課程，除加強學生法學英文之能力外，並透過美國財經法經典文獻之閱讀，對美國財經法相關案例有進一步認識。
In addition to improving students’ legal English, this course designs to equip the students with advanced understanding of the US financial and economic law. We will introduce students to some classics or interesting pieces in American corporate scholarship, and will turn to some iconic cases next semester.
四、課程內容 Course Description
●整體敘述 Overall Description
本堂課主要為美國財經法文獻與判決之閱讀與討論，主要以老師導讀、同學報告方式進行
As the first half part of a one-year seminar, this course intends to introduce you to some classics or interesting pieces in American corporate scholarship (, and we will turn to some iconic cases next semester). At each seminar meeting, we will have one student presenting the paper in the role of the author (therefore, every student will be obliged to make one-time presentation in this semester).  After the presentation, the floor is opened for discussion and questions. To prepare yourselves for each discussion, you're expected to carefully read the assigned paper for every week.
 Besides the presentation, you have to choose three listed papers to write the critiques after carefully reading the paper (4 pages, 12pt, and single space) for this class. The critiques should be submitted by email attachment to yl2200@gmail.com , no later than AM 08:00 on the day of class. Moreover, students writing critiques will be required to share his/her comments in class.
Your final grade will be based primarily on the quality of your presentations and critiques, and secondarily on your classroom participation. Keep in mind that your classroom participation can raise or lower your grade
