三、教學目標 Objectives
同學成功修畢本課程將擁有下列法律專業知識： 1、理解內線交易的定義及其規範之立法目的。 2、理解內線交易規範理論之所以然。 3、提出我國內線交易未來的修法建議。
Students will be entitled to the following knowledge if he or she successfully studied this course: 1. understand what the purpose of the inside trading law is 2. understnad what the reason of the inside trading is 3. understand how to apply the economic analysis of law 4. understnad how to suggest the reform of insider trading law
四、課程內容 Course Description
●整體敘述 Overall Description 本課程主要在深入討論證券交易「次級市場」規範理論中的幾個重要課題，例如：內線交易之禁止、操縱股價之定義與防止、短線交易、內線交易之除罪化、證券詐欺損害賠償之計算、證券次級市場全球化等議題。另外，並輔以美國證券法規範及案例分析，思考我國證券交易法次級市場規範之現狀，發現其問題點，思考、摸索其應有之改進目標。上課係以研討方式進行，學生須在課堂上做口頭報告。
