三、教學目標 Objectives
本課程將探討企業併購原理與法制、委託書爭奪、公開收購股權要約、敵意併購及其防衛策略、少數股東權之保障、金融機構之整併、企業併購與公司治理等主題，使學生了解臺灣及全球資本市場企業併購基本態樣、相關法制規範、實務運作問題及未來發展方向。
This seminar will introduce LLM students to several legal aspects with regard to merger and acquisition, including fundamental M&A laws and principals, proxy solicitation, tender offer, hostile takeover, anti-takeover defense, protection of minority shareholders, consolidation of financial institutions, corporate governance and etc…. Upon completion of this course, students should be able to understanding the basic mechanics, legal frame, market practice and future development of M&A in Taiwan and global capital markets.
