三、教學目標 Objectives
(1)學習並比較我國與美國證券法律在法律體細系中所居地位及其立法背景、宗旨與精神 (2)討論並檢討有關證券法規在適用上應有的法律與經濟思考及判斷 (3)研究法官在判決中對相關證券法規原則之適用及衡量基礎 (4)檢討證券交易中財務業務資訊公開制度與財務報告不實之法律責任(含相當因果關係專題之研究)
(1) To learn about major topics of the Securities Exchange Law of the Republic of China and conduct a comparative study of US Securities Law of 1933 and Securities Exchange law of 1934, including their respective legislative backgrounds and legislative purposes. (2) To review and discuss about legal reasons, economic analysis and judgment in the application and implementation process of securities laws. (3) To research and deliberate on relevant principles of securities exchange law in its application as well as the basis for such application. (4) To review and comment on relevant financial disclosure system as well as legal liabilities arising from non-disclosure or untrue financial statements (including research on proximate causation issues).

●整體敘述 Overall Description 本學期上課次數計17次，每次兩小時，進度如附件上課目錄，實際進度將視教材數量與同學討論速度而定。主要上課內容由教師講授為主，同學討論為輔，鼓勵同學參與討論，以儘量追求教師與同學互動為原則。
