| 三、教學目標 Objectives |
同學成功修畢本課程將擁有下列法律專業知識：
1、理解公司治理的定義及其立法目的。
2、理解併購市場法律規範之所以然。
3、理解商業經營判斷法則規範之所以然。
4、提出我國財經法制未來的修法建議。

| 四、課程內容 Course Description |
●整體敘述 Overall Description
藉由本課程，思考我國企業併購法規範之現狀，發現其問題點，思考、摸索其應有之改進目標。
首先介紹我國併購市場的現狀及企併法法所應扮演的角色，次就英美法忠實義務（Fiduciary Duty）、忠誠義務（Duty of Loyalty）、注意義務（Duty of Care）加以討論。尤其是經營商業判斷原則（Business Judgment Rule）的定義與相關的衍生問題。最後則就企併防衛策略規範予以比較分析檢驗。 |
