三、教學目標 Objectives
同學成功修畢本課程將擁有下列法律專業知識
1. 理解公司法的立法目的。
2. 理解公司治理相關法律規範之所以然。
3. 運用法與經濟分析理解公司法。
4. 提出我國公司法未來的修法建議。
Students will be entitled to the following knowledge if he or she successfully studied this course:

四、課程內容 Course Description
●整體敘述 Overall Description
使同學能了解到商事法之基本概念。課程重點在於使同學瞭解組織之型態，並以公司型態為討論重心，使同學能從課程中學習公司之設立、公司內部之權力結構、股東之權利與責任、董事會之運作、公司之資金來源及公司與股東間之權利義務等議題。進一步思考我國公司法規範之現狀，發現其問題點，思考、摸索其應有之改進目標。
