三、教學目標 Objectives
同學成功修畢本課程將擁有下列法律專業知識：
1、理解證券的定義及證交法的立法目的。
2、理解證券初級市場法律規範之所以然。
3、理解證券次級市場法律規範之所以然。
4、提出我國證券市場未來的修法建議。
Students will be entitled to the following knowledge if he or she successfully studied this course:

四、課程內容 Course Description
●整體敘述 Overall Description
藉由本課程，思考我國證券交易法規範之現狀，發現其問題點，思考、摸索其應有之改進目標。
首先介紹我國證券市場的現狀及證券交易法所應扮演的角色，次就證券的定義，加以討論。尤其是投資契約的定義與相關的衍生問題。再就初級市場的法律規範予以檢驗，公開原則與實質審查原則的利弊得失。另就私募有價證券的相關規範予以論述，並就其缺失提出批判。最後則就次級市場的相關規範予闡釋，特別針對內線交易的規範理論，短線交易的禁止，及歸入權的爭議，深入分析討論。
