三、教學目標 Objectives
希藉英美法院案例解析與相關資料研讀，培養學生思考契約問題與正確解決問題之方法，進而提升法學思考、分析及判斷能力，瞭解英美契約法體系、統一商法典及美國法律整編契約法第二版相關規定。
課程內容包括：契約之成立、要約承諾之機制、約因、契約之解釋及顯失公平、契約之履行、違約及其救濟、口頭證據法則等。
本課程並採取與我國民法相關規定為比較法研討，得以俾益學生於我國法律之學習。　
The underlying purpose of this course is to teach the students to consider the possible ways of handling contract problems and solving legal problems. Leading cases and materials are used as the learning tool to enhance the thinking and analyzing abilities, and to understand the American contract law, which includes the Article 2 of UCC and the Restatement (2nd) Contracts. The topics that the course offered include, but not be limited to, the followings: formation of contracts, offer and acceptance, consideration, interpretation and unconsionability, the course of performance, breach and remedies, and parole evidence rule, etc.
The comparative legal studies are also encouraged in this course, the students may take the related R.O.C. Civil Code into comparison.

1. Basis for enforcing contracts;
2. Interpretation and construction of contracts;
3. Performance and breach; and
4. Remedies.
